The ideal candidate will have a general transactional and corporate background, with relevant experience in media, entertainment, marketing, IP and similar businesses.The Vice President of Legal Affairs will be part of the management team and will provide senior management and department heads with effective advice and support on the company’s legal & risk management strategies and their implementation. The Vice President of Legal Affairs will manage and be directly involved in complex business transactions, negotiate critical contracts, and will also manage and oversee the work of outside counsel as needed.The Vice President of Legal Affairs will report directly to the CEO.Job ResponsibilitiesLegalServe and advise the senior management team on all matters pertaining to legal and risk managementOversee and manage company-wide day-to-day legal matters, including reviewing, drafting, structuring and negotiating a wide variety of agreements across the enterprise, including but not limited to service, licensing, production, sponsorship, talent booking & representation, confidentiality, lease and vendor agreementsServes as legal advisor on all major business transactions, including acquisitions, divestitures, mergers and joint venturesAdvise and manage all legal aspects of the company’s corporate structure, including assessing and advising on current and future business structures and legal entitiesAdvise internal departments on legal issues and risks, complex agreement structures, approval processes, copyright issues, company policies & procedures and general agreement strategyOversee and manage company-wide trademark requirements, IP management and music royaltiesSupport Human Resources department with related legal matters, including offer letters, confidentiality, non-compete and non-disclosure agreementsWork with company’s outside counsel on specific projects, including M&A, litigation matters and IP related opportunities and needsOversee and manage the continuous improvement of standard form agreements and legal processes enterprise-widePerforms other related legal and business affairs duties as assignedRisk ManagementDesigning and implementing an overall risk management plan and process for the organization, which includes an analysis of the legal and financial impact on the company when risks occurPerforming a risk evaluation: Evaluating the company’s current handling of risks, and comparing potential risks with criteria set out by the company such as costs and legal requirementsPreparing risk management and insurance plansRisk reporting tailored to the relevant departments, including advising the senior management team about the most significant risks to the business and ensuring department heads understand the risks that might affect their departments (i.e. internal and external waiver of liability policies, etc.)Creating business continuity plans to limit risksConducting policy and compliance audits, which will include liaising with internal and external auditorsMaintaining records of insurance policies and claims, waivers of liabilities, etc.Building risk awareness enterprise-wide by providing support and advise within the companyJob RequirementsThe candidate needs to have a J.D. Degree, 10+ years of experience and an active License to practice law in the United States (Florida required)Business-oriented lawyer with relevant legal experience (i.e. corporate, transactional, entertainment, live events, marketing, media, etc.)The candidate must have a proven success record of effectively representing the legal and risk management needs of a company, both internally and externallyThe candidate should be a self-starter and be able to work closely with the Executive team and external counsel to manage all relevant legal and risk management mattersMust be able to maintain accurate, up-to-date legal records, files and agreementsPC Skills: Proficiency in Microsoft Word, Excel, and Outlook requiredMust be able to communicate tactfully and effectively both internally and externally (in person, on the telephone and through written communication)Must have strong analytical, negotiation and leadership skillsMust be able to handle multiple tasks in a fast-paced environment and work efficiently under time constraintsMust be able to prioritize work effectivelyMust have attention to detail and ability to work well with cross-functional departmentsThe candidate must be proficient in English and Spanish (oral and written)Based out of Miami with the ability to travelLoud and Live is committed to building a company whose staff reflects the true diversity of our community.
